1. General

Individual entrepreneur Mikhail Vladimirovich Zelenin (the Contractor) offers any legally capable person or company (the Customer) a contract for the "Agents" service on the terms below. Payment means full acceptance of this offer (Articles 437 and 438 of the Civil Code of the Russian Federation).

2. Service

The Contractor sets up and maintains a digital employee for the Customer: an AI agent based on Hermes Agent software that performs the agreed duties in the Customer's Telegram and tools. The service includes a 30 minute review, a role from the catalogue with a job description, onboarding within 3 business days after access is provided, a 2 week probation period and monthly maintenance, including a monthly review of the employee's work and a plan of what to automate next (up to 60 minutes online).

3. Price and payment

Entry: 45 000 RUB including the first month of maintenance. Maintenance from the second month: 15 000 RUB per month. Each additional employee: 10 000 RUB per month. "Team turnkey" is priced individually. Payment by card via CloudPayments (monthly recurring charge, the Customer is notified before payment) or by invoice.

Prepaid support: 3 months minus 5%, 6 months minus 10%, 12 months minus 15%. The discount applies to support; the entry fee is not discounted. With prepayment the Customer picks a term of 3, 6 or 12 months and pays the entry fee and support for the whole term in one payment: 72 750 RUB for 3 months, 111 000 RUB for 6 months, 183 000 RUB for 12 months. No recurring charges are made during the prepaid term. After the term, support is renewed at the current price with the Customer's consent.

4. Probation and guarantee

The target metric is agreed during the review. If it is not reached within 14 days, the Contractor, by agreement with the Customer, either improves the employee free of charge or refunds 50% of the entry price.

5. Confirmations

The employee sends messages to third parties and performs money operations only after the Customer's confirmation.

6. Cancellation and refunds

The subscription can be cancelled at any time; charges stop from the next period. Before work starts, the payment is refunded in full. Refund requests: mikhail.zelenin@gmail.com, within 10 business days by the original payment method.

7. Data

The Customer's knowledge base belongs to the Customer, is handed over as an archive on request and deleted on request.
